Terms of Service and Agreement for Goods Transportation
Effective Date: 18 July 2025
The service agreement is from the person to whom the goods belong. Or the goods purchased from. Please note our service is not leased out and must be used as a goods transport service only by the person who wants their goods picked up and delivered. This can include goods from a store to a customer/client.
This Terms of Service and Agreement ("Agreement") sets forth the terms and conditions under which Click n Drop (PTY) Ltd (hereinafter referred to as "the Service Provider," "we," "us," or "our") provides goods transportation services to its clients (hereinafter referred to as "the Client," "you," or "your").
By engaging the Service Provider for transportation services, the Client acknowledges that they have read, understood, and agree to be bound by these terms and conditions.
1. Parties to the Agreement
Service Provider: Click n Drop (PTY) Ltd (2017/107911/07) South Africa, pedelivery@clickndrop.co.za .
Client: The individual, company, or entity engaging the Service Provider for transportation services, as identified in the booking confirmation or service request.
2. Services Offered
The Service Provider offers a range of goods transportation services, including but not limited to:
Collection and delivery of various types of goods.
Transportation of goods via PE Delivery Vehicle.
Third Party Courier services.
All services are subject to vehicle availability, operational capacity, and compliance with all applicable South African laws and regulations.
3. Client's Responsibilities
The Client agrees to:
Accurate Information: Provide accurate, complete, and truthful information regarding the goods to be transported, including but not limited to:
Nature, type, quantity, dimensions, and weight of goods.
Value of goods.
Specific handling instructions (e.g., fragile, perishable, hazardous).
Accurate collection and delivery addresses, contact names, and phone numbers.
Proper Packaging: Ensure all goods are adequately and safely packed for transportation, considering their nature, weight, and fragility. The Service Provider shall not be liable for damage resulting from inadequate packaging.
Legal Compliance: Ensure that the goods are not illegal, prohibited, or restricted by any South African laws or regulations. The Client indemnifies the Service Provider against any claims, damages, or penalties arising from the transportation of illegal or non-compliant goods.
Accessibility: Ensure that collection and delivery points are accessible and safe for the Service Provider's vehicles and personnel. Any delays or additional costs incurred due to inaccessible locations or unreasonable waiting times may be charged to the Client.
Documentation: Provide all necessary documentation, permits, or licenses required for the transportation of the goods.
Dangerous Goods: Declare any dangerous, hazardous, or perishable goods in advance and provide all necessary safety data sheets and compliance documentation. Failure to do so will result in the Service Provider refusing to transport such goods and the Client being liable for any resulting damages or penalties.
Payment: Make timely payments for services rendered as per the agreed terms.
4. Service Provider's Responsibilities
The Service Provider agrees to:
Reasonable Care: Exercise reasonable care and skill in the transportation of goods.
Timely Delivery: Endeavour to deliver goods within the agreed-upon timeframe, subject to unforeseen circumstances beyond our control (e.g., traffic, weather, road closures, vehicle breakdowns).
Professional Conduct: Ensure that all staff involved in the transportation process conduct themselves professionally and courteously.
5. Limitation of Liability
THIS SECTION IS CRITICAL. PLEASE READ CAREFULLY.
The Service Provider, its employees, agents, and subcontractors shall not be liable for any loss, damage, delay, or non-delivery of goods, whether direct, indirect, incidental, special, consequential, or punitive, arising from or in connection with the services provided, except as expressly provided herein.
Exclusions from Liability: The Service Provider shall not be liable for:
Loss or damage to goods arising from:
Inherent vice or defect of the goods (e.g., spoilage of perishable goods).
Improper or insufficient packaging or labelling by the Client.
Acts of God, force majeure events (e.g., natural disasters, war, civil unrest, strikes, pandemics, government actions).
Acts or omissions of the Client or their agents.
Electrical or magnetic injury, erasure, or other such damage to electronic or photographic images or recordings.
Loss of data, software, or programs.
Consequential loss, loss of profit, loss of market, or indirect damages.
Theft or hijacking where reasonable precautions were taken.
Delays in collection or delivery due to circumstances beyond the Service Provider's reasonable control.
Damage to goods that are not declared as fragile or requiring special handling.
Damage to the interior of vehicles or premises during loading/unloading if the Client or their representatives directed the placement or movement.
Maximum Liability: In the event that the Service Provider is found liable for any loss or damage to goods, our liability shall be limited to the lesser of:
The actual cost of repair or replacement of the damaged goods. Subject to Insurance Coverage.
The declared value of the goods (if declared and accepted by the Service Provider in writing prior to transportation).
The Client acknowledges and agrees that this limitation of liability is reasonable given the nature of the services and the cost of the service.
Staff and Belongings: The Service Provider shall not be liable for any loss or damage to the personal belongings of the Client or their representatives, nor for any injury or harm caused to the Client or their representatives. The Service Provider's staff's personal belongings are their sole responsibility.
6. Insurance
The Service Provider strongly advises the Client to obtain adequate insurance coverage for their goods during transit. The Service Provider does not provide comprehensive insurance coverage for the goods being transported unless explicitly agreed upon in writing and an additional premium paid by the Client. Any insurance arranged by the Service Provider on behalf of the Client will be subject to the terms and conditions of the insurer.
7. Payment Terms
Quotation: All quotations provided by the Service Provider are valid for (4 days) from the date of issue and are based on the information provided by the Client. Any changes to the scope of work, goods, or routes may result in a revised quotation.
Invoicing: Invoices will be issued upon (booking confirmation).
Payment Due Date: Payment is due within (24 hours from the date of invoice, unless otherwise agreed in writing.
Late Payment: The Service Provider reserves the right to charge interest on overdue amounts at a rate of R60 per day. The Service Provider may also suspend services until all outstanding payments are settled.
Cancellation Fees: Cancellations made less than (12 hours) before the scheduled collection time may incur a cancellation fee of (30% of the base rate, surcharges are non-refundable).
8. Indemnification
The Client agrees to indemnify, defend, and hold harmless the Service Provider, its directors, officers, employees, agents, and subcontractors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:
Any breach of this Agreement by the Client.
Any inaccurate, incomplete, or misleading information provided by the Client.
Any injury, death, or damage to property caused by the goods transported or the Client's actions.
Any third-party claims arising from the transportation of goods that are illegal, prohibited, or non-compliant with applicable laws.
9. Governing Law and Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of the Republic of South Africa. The parties irrevocably submit to the exclusive jurisdiction of the South African courts in respect of any dispute arising out of or in connection with this Agreement.
10. Dispute Resolution
In the event of any dispute or claim arising out of or relating to this Agreement, the parties shall first attempt to resolve the matter amicably through good faith negotiations. If a resolution cannot be reached within [e.g., 14 days], either party may pursue legal remedies as provided by South African law.
11. Confidentiality
Both parties agree to keep confidential all non-public information obtained during the course of providing or receiving services under this Agreement, except as required by law or with the express written consent of the other party.
12. Termination
Either party may terminate this Agreement by providing [e.g., 7 days'] written notice to the other party if the other party commits a material breach of this Agreement and fails to remedy such breach within [e.g., 7 days] of receiving written notice thereof.
13. Entire Agreement
This Agreement constitutes the entire agreement between the Service Provider and the Client with respect to the subject matter hereof and supersedes all prior discussions, negotiations, and agreements, whether oral or written.
14. Severability
If any provision of this Agreement is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be severed from the remainder of this Agreement, which shall remain in full force and effect.
15. Waiver
No waiver of any provision of this Agreement shall be effective unless made in writing and signed by both parties. A waiver of any breach shall not be deemed a waiver of any subsequent breach.

Invoicing: Invoices will be issued upon (booking confirmation, meaning once a quote is sent).
Payment Due: Before any parcels and picked, and sent. This means only once paid, can the parcel be booked.
Overweight: If your parcel is overweight, there will be an additional fee. If you refuse to pay this fee then the courier will either keep the parcel and you will pickup or delivery back to the send, this is at the couriers descretion.
Cancellation Fees: Once a parcel has been booked it cannot be cancelled.
8. Indemnification
The Client agrees to indemnify, defend, and hold harmless the Service Provider, its directors, officers, employees, agents, and subcontractors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:
Any breach of this Agreement by the Client.

Click n Drop offers the service to customers/clients. It does not courier the parcels and uses a third party service to courier your parcels. Please ensure to read the courier legal and coverage. Any claims from loss, theft, damage, ect are not covered by Click n Drop.
